# InRef Alpha 0.01 — Closed Alpha End User Licence Agreement Agreement version: 2026-09-06 Effective date: 6 September 2026 Licensor: Arcurial Studios Please review this agreement before choosing to accept it. It applies to your use of the InRef desktop software, website, account services and Asset Store during the invitation-only closed alpha. Keep a copy for your records. If you do not agree, do not create an account or use the closed alpha. Important points: this is unfinished, free evaluation software; keep independent backups; invitations and non-public builds must not be shared; test credits are not money; and your legal rights as a consumer are preserved. Material changes to this agreement require fresh agreement and do not rewrite the version you previously accepted. ## 1. Who the agreement is with This agreement is between you and the operator developing and providing InRef under the name Arcurial Studios ("Arcurial Studios", "we", "us" or "our"). Arcurial Studios is currently a project/trading name; this agreement does not represent it as an incorporated company. "InRef" means the software and online services described above. If you accept for an organisation, you confirm that you are authorised to bind it. Otherwise you accept personally. For closed-alpha support, legal notices or privacy requests, contact the Arcurial Studios representative who supplied your invitation, using the contact channel through which it was supplied. Ask that representative for the operator's identity or postal contact details if needed. Formal business and contact details will be provided when the business is established; changing the legal operator will require any notice and agreement required by law. ## 2. Closed alpha eligibility and accounts The closed alpha is for invited users aged 18 or over. An invitation authorises only the permitted number of accounts and may be limited to a specified email address or expiry date. Do not sell, publish or share an invitation without our permission, create accounts to evade restrictions, or impersonate another person. Provide accurate account information, keep your sign-in details secure, and tell us promptly if you suspect unauthorised access. You are responsible for use that you authorise or knowingly allow; you are not automatically responsible for activity caused by our failure to take reasonable security precautions. Invitation expiry after successful registration does not itself terminate an existing account. ## 3. Licence to use InRef While this agreement remains in effect, we give you a limited, non-exclusive, non-transferable licence to install InRef on devices you control and use it for evaluation and your own personal or internal business creative work. You may keep reasonable backup copies. This is a licence to use the software, not a transfer of its intellectual property. Do not distribute the software to uninvited users, resell or sublicense access, remove ownership notices, bypass account or ownership controls, or use the service to offer unauthorised access to others. Do not reverse engineer or circumvent technical measures except where applicable law expressly permits you to do so, including rights relating to interoperability or lawful security research. Separate open-source licences govern their respective components and take precedence for those components. ## 4. Unfinished software and changes during the alpha InRef Alpha 0.01 is an early development release. Features may be incomplete, change or be withdrawn, and files or projects may be incompatible with later releases. Crashes, interrupted service and data loss are possible. Test workflows before relying on them and keep original files and independent backups outside InRef. Do not use the closed alpha as the sole repository for important work or for safety-critical decisions. We will use reasonable care in providing the closed alpha. We do not promise continuous availability, compatibility with every device or file, a particular release date, or that a planned feature will be delivered. These descriptions of the alpha do not remove responsibility for commitments we expressly make or legal obligations we owe you. We may make technical changes, require a compatible update for online access, or temporarily suspend a feature to address security, compatibility, legal or testing requirements. We will give reasonable notice of changes that materially affect your use where practicable. Urgent security or legal issues may require immediate action. You may stop using InRef without an exit charge. ## 5. Asset Store, test transactions and ownership Closed-alpha purchases use free test credits. They do not charge money, create a payment obligation, buy a financial product or give credits a cash value. Test credits cannot be redeemed for cash, transferred or sold. We will not convert test transactions into paid transactions or start a paid subscription without a separate, clear agreement. An account ownership record identifies access granted during the test; it does not transfer copyright in an asset or guarantee an entitlement to a future paid product. Each asset remains subject to the licence shown for it. If a third-party licence applies, follow it. Do not redistribute standalone originals, sell access, or remove attribution where the applicable asset licence prohibits this. Store listings and alpha services may change. We intend to preserve access to acquired versions during testing, but online availability is subject to the alpha limitations in section 4. We will give reasonable notice and an opportunity to download your available files before a planned closure or reset where practicable. We will not retrospectively remove rights already granted under a separate perpetual asset licence merely because a listing is removed. A later paid release, real-money store or changed asset licence requires separate terms. ## 6. Your files and other people's rights You retain your rights in files you create or upload. You give us only the permission reasonably needed to host, back up, process, display and deliver content as you request, operate the service, and investigate misuse or faults. This permission does not transfer ownership of your content or permit unrelated advertising use. Upload and share only content that you are entitled to use in that way. Respect copyright, privacy and confidentiality. Do not upload malware, unlawfully obtained material or content that is illegal to possess or distribute. A feature that allows downloading or importing content does not itself provide permission from its rights holder. We may restrict specific content where reasonably necessary to comply with law, protect rights or investigate a credible complaint. We will explain the reason and allow you to contact us about a mistake where doing so is lawful and practicable. We do not promise to review every file uploaded. ## 7. Confidentiality of the closed alpha Non-public builds, invitation codes, security information, unreleased feature details, and testing materials supplied by us are confidential. Do not publish or give others access to them without written permission. This includes public distribution of builds and screenshots or recordings that reveal non-public features. You may share necessary information with professional advisers who owe a duty of confidentiality. This restriction does not cover information already lawfully public, information you independently develop, or information lawfully received without a duty of confidence. It does not prevent disclosure required by law, reporting suspected wrongdoing to an appropriate authority, obtaining legal advice, exercising consumer rights or making a protected disclosure. Please report security issues privately through our contact channel so that we can investigate them safely. ## 8. Acceptable use and feedback Do not disrupt the service, access another account without permission, deliberately overwhelm the server, exploit test credits, defeat access controls, or carry out intrusive security testing without authorisation. Ordinary testing of features and responsible reporting of unexpected behaviour are welcome. If you voluntarily send feedback about InRef, we may use the suggestions to improve our products without paying a fee or crediting you. This does not transfer ownership of your existing work, grant rights in unrelated files, or authorise disclosure of confidential information you identify as such. Do not send us another person's confidential information without permission. ## 9. Privacy and acceptance records Account details, authentication records, transactions, ownership and the version and time of your acceptance are processed to operate and secure the alpha and administer this agreement. We retain an acceptance record with your account, including the agreement version, its document checksum, the server-recorded acceptance time and the signup channel. The checksum identifies the document you agreed to; we do not treat a software update as acceptance of new terms. Personal-data handling is governed by applicable data-protection law and the privacy information supplied for the service. Accepting this agreement is not consent to unrelated marketing and does not waive privacy rights. Contact us to exercise applicable access, correction or deletion rights. Some records may need to be retained for security, legal obligations or the establishment or defence of claims; we will explain applicable retention when responding. Do not use the alpha to store sensitive information that is unnecessary for testing. ## 10. Responsibility and limits of liability Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot lawfully be excluded or limited. Your mandatory rights concerning software, digital content, services and personal data remain in force. If you are a consumer, we are responsible for loss or damage that is a reasonably foreseeable result of our breach of this agreement or our failure to use reasonable care and skill. We are not responsible for loss caused solely by your misuse contrary to clear instructions, a third party outside our reasonable control, or an event we could not reasonably anticipate and were not responsible for preventing. These terms do not exclude responsibility for our own fault or reduce remedies available under consumer law. The business limits below do not apply to you as a consumer. If you use InRef wholly or mainly for business purposes, and subject to the first paragraph of this section, we are not liable for indirect or consequential loss, or loss of profit, revenue, business opportunity or anticipated savings. Our aggregate liability arising from the free closed alpha is limited to GBP 100. This business limit applies only to the extent that it is lawful and reasonable in the circumstances and does not limit liability that the first paragraph preserves. We do not require consumers to indemnify us or pay a fixed penalty for a breach. If a business user's unlawful content or deliberate misuse causes a third-party claim, that business remains responsible for its own acts under ordinary law; this agreement does not make it responsible for our fault. ## 11. Ending access and changing this agreement You may stop using InRef at any time and ask us to close your account. There is no cancellation fee for the free alpha. Uninstalling the desktop alone does not delete your online account or server records. We may suspend or end access for a serious breach, a credible security risk, fraud, unlawful activity, or where continuing the alpha is no longer technically, legally or commercially practicable. Except for urgent or serious cases, we will explain the reason, give reasonable notice and an opportunity to put a remediable breach right. For a planned end to the closed alpha, we will aim to give at least 14 days' notice and allow export of available files where lawful and practicable. We will not use this provision to avoid responsibilities that have already arisen. When your software licence ends, stop using confidential alpha builds and delete them apart from copies you must lawfully retain. Your own original content remains yours. Any separate asset licence and rights or liabilities that have already accrued are unaffected. Confidentiality, intellectual-property, liability and dispute provisions continue where their nature requires it. We may propose revised terms to reflect a changed service or legal requirements. Material revisions will be identified and require your express agreement before applying to your future use. They will not retrospectively change the document recorded for an earlier acceptance. If you do not accept revised terms, you may stop using the affected service without a charge; existing legal rights remain unaffected. ## 12. Governing law and resolving problems This agreement is governed by the law of England and Wales. If you are a consumer living elsewhere, you retain any mandatory protection given by the law of your usual residence and any right to bring proceedings in your local courts. Business disputes are subject to the exclusive jurisdiction of the courts of England and Wales. Please contact us first if there is a problem so that we can try to resolve it. This is an invitation to discuss the issue, not a condition that prevents you from obtaining legal advice, contacting a regulator or bringing a lawful claim. We do not require private arbitration or waive access to the courts. If a provision is unenforceable, the remaining provisions continue so far as they can fairly operate. No failure or delay in exercising a right automatically waives it. We will not transfer this agreement in a way that reduces a consumer's rights without the notice and consent required by law. By selecting the acceptance control during account creation, you agree to this version of the InRef Closed Alpha End User Licence Agreement. Do not select it if you do not wish to agree.
