# InRef Alpha 0.01 — Closed Alpha End User Licence Agreement
Agreement version: 2026-09-28
Effective date: 28 September 2026
Licensor: Arcurial Studios Ltd (trading as Arcurial Studios)
This EULA governs the software. The separate Terms of Service appended to this document govern accounts, the website and Asset Store. The acceptance control covers both documents and their combined digest. InRef is intended for users worldwide; mandatory local consumer protections remain applicable.
Please review this agreement before choosing to accept it. It applies to your use of the InRef desktop software, website, account services and Asset Store during the invitation-only closed alpha. Keep a copy for your records. If you do not agree, cancel installation and do not create an account or use the closed alpha.
Important: installation, updates and use can involve crashes, incompatibility, file corruption, lost work and disruption to your device or other software. Keep independent, tested backups and work on copies of important files. You choose to install and use this unfinished software at your own risk as described in sections 4 and 10; this is not a waiver of our legal responsibilities. Section 10 excludes liability for business losses from the free alpha where lawful and reasonable; it does not remove liability the law requires us to accept. Consumer rights, including applicable remedies for damage to devices or other digital content, remain protected. Invitations and non-public builds must not be shared; test credits are not money. Material changes require fresh agreement and do not rewrite an earlier acceptance.
## 1. Who the agreement is with
This agreement is between you and Arcurial Studios Ltd, trading as Arcurial Studios ("Arcurial Studios", "we", "us" or "our"), the operator providing InRef. "InRef" means the software and online services described above. If you accept for an organisation, you confirm that you are authorised to bind it. Otherwise you accept personally. A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession; a paid plan alone does not make someone a business user.
For support or legal notices, contact Admin@Arcurial.com or the representative who supplied your invitation. The website privacy notice explains personal-data handling. This new agreement does not retrospectively change the identity of a party to an earlier agreement or assert that an earlier agreement has automatically transferred to a different legal person.
## 2. Closed alpha eligibility and accounts
The closed alpha is for invited users aged 18 or over. An invitation authorises only the permitted number of accounts and may be limited to a specified email address or expiry date. Do not sell, publish or share an invitation without our permission, create accounts to evade restrictions, or impersonate another person.
Provide accurate account information, keep your sign-in details secure, and tell us promptly if you suspect unauthorised access. You are responsible for use that you authorise or knowingly allow; you are not automatically responsible for activity caused by our failure to take reasonable security precautions. Invitation expiry after successful registration does not itself terminate an existing account.
## 3. Licence to use InRef
While this agreement remains in effect, we give you a limited, non-exclusive, non-transferable licence to install InRef on devices you control and use it within the permitted purposes and user capacity of your licence, as set out below. You may keep reasonable backup copies. This is a licence to use the software, not a transfer of its intellectual property.
Personal (including the legacy Basic tier) and Pro permit personal and commercial work by an individual, including a sole trader or independent freelancer and paid client projects. Companies and organisations must hold an Indie or Studio licence for use by their staff, even when only one person uses InRef. An independent freelancer may use their own Personal or Pro licence to deliver work to a company; this does not license the company or its staff. Indie includes 5 named users; New Studio licences include 10 named users and Studio tools. Each person using the organisation’s licence must have an assigned seat. Any additional seats must be separately licensed.
An expressly authorised Dev account may test all product features without buying a business licence; this testing access does not grant business production rights. Previously granted licence rights remain governed by the terms accepted with that licence. This version does not retrospectively remove those rights or treat an application update as acceptance of new terms. Asset licences remain separate from the software licence.
Do not distribute the software to uninvited users, resell or sublicense access, remove ownership notices, bypass account or ownership controls, or use the service to offer unauthorised access to others. Do not reverse engineer or circumvent technical measures except where applicable law expressly permits you to do so, including rights relating to interoperability or lawful security research. Separate open-source licences govern their respective components and take precedence for those components.
## 4. Unfinished software and changes during the alpha
InRef is unfinished alpha software supplied for evaluation. Installing, updating, importing, editing, saving, synchronising or exporting may fail, crash, freeze, overwrite or corrupt files, lose unsaved or saved work, create incompatible file versions, or disrupt your device and other software. Features may change or be withdrawn. No software or recovery feature can eliminate these risks. Choose whether InRef is suitable for your device and work before proceeding, taking these disclosed risks into account. Your decision to proceed does not excuse our breach of contract or failure to use reasonable care and skill.
Before installation or an update, and regularly during use, keep separate, versioned backups of important boards, source files, linked media and settings outside InRef and outside any folder that is automatically synchronised or overwritten. Check that you can restore them. Test new releases and import, export or conversion workflows on copies before using important originals. Save regularly and verify exported or recovered files. Follow the published system requirements and clear instructions, and keep sufficient free storage. Do not use the alpha as the only copy of important work, as your only means of meeting a deadline, or in safety-critical systems where failure could cause injury or environmental harm.
Autosave, undo, history, recovery, cloud storage and synchronisation are convenience features, not a separate archival or backup service. Synchronisation can propagate deletion or corruption. Unless we expressly agree otherwise in writing, we do not undertake to archive your files indefinitely, reconstruct lost work or provide a dedicated data-recovery service. We cannot guarantee that recovery will succeed. These statements do not remove statutory repair, replacement, refund or compensation rights, or responsibility for services we expressly promise. Failing to make a backup does not automatically remove a consumer's rights.
We will use reasonable care in providing the alpha. We do not promise uninterrupted or error-free operation, compatibility with every device, driver, plug-in, file or other application, or delivery of a planned feature or release date. For business users only, the free alpha is provided "as is" and "as available", without implied warranties of satisfactory quality or fitness for a particular purpose, only where those warranties can lawfully and reasonably be excluded and subject to section 10. No disclaimer removes an express commitment or liability that section 10 preserves.
We may make technical changes, require a compatible update for online access, or temporarily suspend a feature to address security, compatibility, legal or testing requirements. We will give reasonable notice of changes that materially affect your use where practicable. Urgent security or legal issues may require immediate action. You may stop using InRef without an exit charge. An update or continued use alone is not acceptance of revised legal terms.
## 5. Asset Store, test transactions and ownership
Closed-alpha purchases use free test credits. They do not charge money, create a payment obligation, buy a financial product or give credits a cash value. Test credits cannot be redeemed for cash, transferred or sold. We will not convert test transactions into paid transactions or start a paid subscription without a separate, clear agreement.
An account ownership record identifies access granted during the test; it does not transfer copyright in an asset or guarantee an entitlement to a future paid product. Each asset remains subject to the licence shown for it. AI-tagged assets contain AI-generated material. Review the AI disclosure and intended-use responsibilities in sections 6 and 7 of the Terms of Service; no universal copyright, exclusivity or third-party clearance is promised, and statutory remedies remain unaffected. If a third-party licence applies, follow it. Do not redistribute standalone originals, sell access, or remove attribution where the applicable asset licence prohibits this.
Store listings and alpha services may change. We intend to preserve access to acquired versions during testing, but online availability is subject to the alpha limitations in section 4. We will give reasonable notice and an opportunity to download your available files before a planned closure or reset where practicable. We will not retrospectively remove rights already granted under a separate perpetual asset licence merely because a listing is removed. A later paid release, real-money store or changed asset licence requires separate terms.
## 6. Your files and other people's rights
You retain your rights in files you create or upload. You give us only the permission reasonably needed to host, back up, process, display and deliver content as you request, operate the service, and investigate misuse or faults. This permission does not transfer ownership of your content or permit unrelated advertising use.
Upload and share only content that you are entitled to use in that way. Respect copyright, privacy and confidentiality. Do not upload malware, unlawfully obtained material or content that is illegal to possess or distribute. A feature that allows downloading or importing content does not itself provide permission from its rights holder.
We may restrict specific content where reasonably necessary to comply with law, protect rights or investigate a credible complaint. We will explain the reason and allow you to contact us about a mistake where doing so is lawful and practicable. We do not promise to review every file uploaded.
## 7. Confidentiality of the closed alpha
Non-public builds, invitation codes, security information, unreleased feature details, and testing materials supplied by us are confidential. Do not publish or give others access to them without written permission. This includes public distribution of builds and screenshots or recordings that reveal non-public features. You may share necessary information with professional advisers who owe a duty of confidentiality.
This restriction does not cover information already lawfully public, information you independently develop, or information lawfully received without a duty of confidence. It does not prevent disclosure required by law, reporting suspected wrongdoing to an appropriate authority, obtaining legal advice, exercising consumer rights or making a protected disclosure. Please report security issues privately through our contact channel so that we can investigate them safely.
## 8. Acceptable use and feedback
Do not disrupt the service, access another account without permission, deliberately overwhelm the server, exploit test credits, defeat access controls, or carry out intrusive security testing without authorisation. Ordinary testing of features and responsible reporting of unexpected behaviour are welcome.
If you voluntarily send feedback about InRef, we may use the suggestions to improve our products without paying a fee or crediting you. This does not transfer ownership of your existing work, grant rights in unrelated files, or authorise disclosure of confidential information you identify as such. Do not send us another person's confidential information without permission.
## 9. Privacy and acceptance records
Account details, authentication records, transactions, ownership and the version and time of your acceptance are processed to operate and secure the alpha and administer this agreement. We retain an acceptance record with your account, including the agreement version, its document checksum, the server-recorded acceptance time and the signup channel. The checksum identifies the document you agreed to; we do not treat a software update as acceptance of new terms.
Personal-data handling is governed by applicable data-protection law and the privacy information supplied for the service. Accepting this agreement is not consent to unrelated marketing and does not waive privacy rights. Contact us to exercise applicable access, correction or deletion rights. Some records may need to be retained for security, legal obligations or the establishment or defence of claims; we will explain applicable retention when responding. Do not use the alpha to store sensitive information that is unnecessary for testing.
## 10. Responsibility and limits of liability
Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Mandatory rights concerning software, digital content, services and personal data remain in force. The risk warnings and backup guidance do not waive these rights.
**Consumers.** We remain responsible for loss or damage that is a reasonably foreseeable result of our breach of this agreement or failure to use reasonable care and skill. Loss is foreseeable if it was obvious that it would happen or if both parties knew it might happen when agreeing the contract. This includes applicable rights to repair or compensation where digital content damages your device or other digital content because we failed to use reasonable care and skill, including under section 46 of the UK Consumer Rights Act 2015 where it applies. The business exclusions below do not apply to consumers.
We are not responsible for consumer loss that is not caused by our breach or lack of reasonable care, or that was not reasonably foreseeable. Examples may include loss caused solely by use contrary to clear instructions, a hardware failure or third-party service for which we are not responsible. These examples do not excuse our contribution to a loss or our failure to take precautions we should reasonably take. You should take reasonable steps to avoid further loss once you know of a problem. Whether a loss could reasonably have been avoided, including using a backup, is assessed under applicable law; lack of a backup is not an automatic exclusion of our liability. Statutory remedies for faulty or misdescribed digital content remain available.
**Business users only.** If you use InRef wholly or mainly for business purposes, the following provisions allocate the risks of using the free evaluation alpha, subject always to the first paragraph of this section and any applicable legal reasonableness test:
- We exclude liability for lost profits, revenue, sales, contracts, business opportunities, anticipated savings or goodwill; business interruption; and loss, corruption or unavailability of business data or files, including the cost of restoring data or recreating work, whether those specified losses are direct or indirect.
- We also exclude indirect or consequential loss or damage.
- We exclude liability for other loss or damage arising from or in connection with the free closed alpha, including damage to a device or other property, only where that exclusion is lawful and reasonable. These exclusions apply consistently across this EULA and the Terms of Service.
- These business provisions apply to claims in contract, tort (including negligence), misrepresentation other than fraudulent misrepresentation, breach of statutory duty or otherwise, only insofar as an exclusion is lawful and reasonable. They do not exclude anything preserved in the first paragraph. A court may decline to enforce an unreasonable exclusion, and liability will then be determined under applicable law.
These business provisions concern the free closed alpha only. Paid products or services require the separate terms disclosed before purchase; these free-alpha business exclusions do not apply to them. Businesses should assess suitability, maintain independent backups and appropriate continuity arrangements, and avoid relying on the alpha for irreplaceable production work.
We do not require consumers to indemnify us or pay a fixed penalty for a breach. If a business user's unlawful content or deliberate misuse causes a third-party claim, that business remains responsible for its own acts under ordinary law; this agreement does not make it responsible for our fault. Nothing prevents you from making a lawful claim or complaint.
## 11. Ending access and changing this agreement
You may stop using InRef at any time and ask us to close your account. There is no cancellation fee for the free alpha. Uninstalling the desktop alone does not delete your online account or server records.
We may suspend or end access for a serious breach, a credible security risk, fraud, unlawful activity, or where continuing the alpha is no longer technically, legally or commercially practicable. Except for urgent or serious cases, we will explain the reason, give reasonable notice and an opportunity to put a remediable breach right. For a planned end to the closed alpha, we will aim to give at least 14 days' notice and allow export of available files where lawful and practicable. We will not use this provision to avoid responsibilities that have already arisen.
When your software licence ends, stop using confidential alpha builds and delete them apart from copies you must lawfully retain. Your own original content remains yours. Any separate asset licence and rights or liabilities that have already accrued are unaffected. Confidentiality, intellectual-property, liability and dispute provisions continue where their nature requires it.
We may propose revised terms to reflect a changed service or legal requirements. Material revisions will be identified and require your express agreement before applying to your future use. They will not retrospectively change the document recorded for an earlier acceptance. If you do not accept revised terms, you may stop using the affected service without a charge; existing legal rights remain unaffected.
## 12. Governing law and resolving problems
This agreement is governed by the law of England and Wales. If you are a consumer living elsewhere, you retain any mandatory protection given by the law of your usual residence and any right to bring proceedings in your local courts. Business disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
Please contact us first if there is a problem so that we can try to resolve it. This is an invitation to discuss the issue, not a condition that prevents you from obtaining legal advice, contacting a regulator or bringing a lawful claim. We do not require private arbitration or waive access to the courts.
If a provision is unenforceable, the remaining provisions continue so far as they can fairly operate. No failure or delay in exercising a right automatically waives it. We will not transfer this agreement in a way that reduces a consumer's rights without the notice and consent required by law.
By expressly accepting in the installer or during account creation, you agree to this version of the InRef Closed Alpha End User Licence Agreement and the appended Terms of Service. Do not select it if you do not wish to agree.
# Terms of Service
Arcurial Studios · Version 2026-09-28
## 1. Who we are and who these terms cover
Arcurial Studios Ltd, trading as Arcurial Studios, is the United Kingdom-based operator of InRef, a product intended for users worldwide. Contact Admin@Arcurial.com for support or legal notices. These terms govern the website, accounts, online services and Asset Store alongside the software EULA. If you act for an organisation, you must have authority to bind it. A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession; choosing a paid plan alone does not change that status. This new version does not retrospectively transfer an earlier contract to a different legal person. Full business identification and postal details must be supplied with any paid offer.
## 2. Our agreements and your acceptance
These Terms of Service apply alongside the End User Licence Agreement (EULA), which governs the software, and the versioned licence supplied with each asset, which governs use of that asset. An asset licence takes precedence on asset-use rights; the EULA takes precedence on software-use rights. Mandatory law takes precedence over all three. The installer and account-creation acceptance controls cover the displayed EULA and these terms, identified by version and a digest of their full text. Read and save them before accepting. If you do not agree, cancel installation and do not create an account or use the affected service. Downloading, browsing, an automatic update or continued use alone is not treated as express acceptance of revised terms. Material changes require fresh express agreement before applying to future use; previous agreements, purchases and acceptance records are not rewritten.
## 3. Accounts and acceptable use
The current closed alpha is invitation-only and for adults aged 18 or over. Provide accurate information, keep your account credentials secure and report suspected misuse promptly. Do not impersonate others, evade account restrictions, interfere with the service, distribute malware, infringe other people's rights or use InRef for unlawful activity. You are responsible for activity you authorise or knowingly allow, but not automatically for activity caused by our own failure to take reasonable care. Availability in a country is subject to applicable law.
## 4. Your content
You retain your existing rights in content you create or upload. You grant us only the permission reasonably necessary to process, store, display and deliver it as you request, maintain the service and investigate misuse. You must have the permissions required for your uploads, sharing and intended uses, including copyright, privacy, confidentiality, trademark and likeness rights. We do not acquire ownership of your work merely because you use InRef.
## 5. Asset licences and finished works
Review the licence and disclosures on an asset before acquiring or using it. Commercial Licence and AI Commercial Licence permit use and modification in personal and commercial finished works under their stated conditions. They prohibit sharing, reselling or redistributing the asset itself, including modified standalone assets. A purchase grants the specified licence and access to the acquired release, not ownership of all intellectual-property rights or an exclusive right to the subject matter. Existing custom or third-party licences continue to govern their respective assets.
## 6. AI-generated asset disclosure
An AI tag means AI Generated. An asset bearing that tag or an AI Commercial Licence contains AI-generated material and is not represented as wholly human-authored. Copyright protection, authorship rules and the ability to obtain exclusive rights differ between countries and may not apply to some or all of the material. We grant only rights we hold and do not promise exclusivity, copyright registration, or that similar output will not be supplied or created elsewhere. A licence cannot create copyright where the law does not recognise it.
## 7. Your intended use of AI content
Before using an AI-tagged asset, assess whether it is suitable for your project, country, client, employer, publisher or distribution platform, including any disclosure or provenance requirements. Check the output for unwanted resemblance to protected works, trademarks, people or other restricted subject matter and obtain additional permissions where needed. Do not misrepresent disclosed AI material as wholly human-authored or make unsupported claims of exclusivity. The AI tag is a disclosure, not a guarantee of legal clearance, accuracy or suitability for every use. These responsibilities do not excuse any inaccurate description, lack of reasonable care or other breach for which Arcurial Studios is legally responsible.
## 8. Test credits, paid orders and consumer remedies
The current closed alpha uses free test credits, which are not money, cannot be exchanged for cash and do not create a payment obligation. We will not turn test purchases into charges or subscriptions without a separate clear agreement. Any future paid order must disclose its price, taxes, applicable licence, delivery, cancellation and refund terms before commitment. Where immediate digital delivery affects a statutory cancellation right, we must obtain the legally required express consent and acknowledgement separately. Faulty, misdescribed or otherwise non-conforming digital content remains subject to applicable statutory remedies; an AI tag does not remove those remedies.
## 9. Installation risk, your backups and service availability
InRef is unfinished alpha software. Installation, updates and use can crash or freeze, corrupt or overwrite files, lose saved or unsaved work, make files incompatible, or disrupt your device and other software. You choose to install and use it at your own risk as allocated in section 10; that does not waive our legal responsibilities.
Before installing or updating and regularly during use, keep independent, versioned backups of important work, original files and linked media outside InRef and synchronised folders; check you can restore them. Test new releases and import/export workflows on copies. Save regularly, verify outputs and follow system requirements and clear instructions. Do not rely on the alpha as your only copy of important work, your only way of meeting a deadline, or in safety-critical systems.
Autosave, undo, recovery, storage and sync do not replace independent backups; sync can propagate corruption or deletion. Unless expressly agreed in writing, we do not provide indefinite archival storage, guaranteed recovery or a dedicated service to reconstruct lost work. This does not remove statutory remedies or a service commitment we expressly make, and lack of a backup does not automatically remove consumer rights.
We will use reasonable care but do not promise uninterrupted or error-free service, every planned feature or compatibility with every device or file.
A personal Pro licence provides permanent offline use of the software versions covered by that licence. Once activated, those versions do not require periodic online activation. Keep a private backup of your offline activation key and a compatible installer. Later major-version upgrades are optional separate purchases unless expressly included in your offer. Company seat registration remains subject to the terms supplied with that plan.
Online service support is tied to the current generally available major version of InRef. For example, when version 2.x becomes generally available, online services for version 1.x may be retired; a beta or preview of a later major version does not itself end support. A perpetual software licence does not promise indefinite online service availability for an older major version. Continuing to use online services may require a supported version and a licence for it. Before ending support for a major version, we will give reasonable advance notice and an opportunity to export available content. Offline Pro activation and covered local features continue to work independently of that service retirement. This policy does not reduce an existing express service commitment, rewrite earlier purchases or limit mandatory consumer rights.
For business users only, the free alpha is supplied as is and as available without implied warranties of satisfactory quality or fitness for a particular purpose, only where lawfully and reasonably excluded and subject to section 10.
We may suspend access for a serious breach or urgent legal or operational need, giving reasons, reasonable notice and a chance to remedy a remediable breach where practicable. Planned closure should provide a reasonable opportunity to export available content. Removing a listing does not itself revoke a perpetual asset licence. You may stop using the free alpha without an exit charge.
## 10. Responsibility for lost work, data and device damage
Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded or limited. Mandatory digital-content, service and data-protection rights remain intact.
CONSUMERS: we remain responsible for reasonably foreseeable loss caused by our breach or failure to use reasonable care and skill, including applicable repair or compensation rights for damage to a device or other digital content under section 46 of the UK Consumer Rights Act 2015. Loss is foreseeable if it was obvious or both parties knew it might happen when agreeing the contract.
We are not responsible for loss we did not cause through breach or lack of reasonable care, or which was not reasonably foreseeable. Loss caused solely by misuse contrary to clear instructions or a third-party failure for which we are not responsible may fall outside our responsibility; this does not excuse our contribution to loss or failure to take reasonable precautions. Take reasonable steps to avoid further loss when a problem becomes known. The effect of avoidable loss or missing backups is assessed under applicable law, not by an automatic exclusion.
BUSINESS USERS ONLY: subject to the non-excludable liabilities above and legal reasonableness requirements, for the free evaluation alpha we exclude lost profits, revenue, sales, contracts, business opportunities, anticipated savings or goodwill; business interruption; and loss, corruption or unavailability of business data or files, including restoration and recreation costs, whether those specified losses are direct or indirect. We also exclude indirect or consequential loss.
We exclude liability for other loss or damage arising from or in connection with the free closed alpha, including device or property damage, only where that exclusion is lawful and reasonable. These exclusions apply consistently across these terms and the EULA. These business provisions apply in contract, tort (including negligence), non-fraudulent misrepresentation, breach of statutory duty or otherwise only where lawful and reasonable; a court may decline to enforce an unreasonable exclusion, and liability will then be determined under applicable law. They do not apply to consumers or paid products, which require separate terms before purchase.
We impose no consumer indemnity or fixed breach penalty. A business remains responsible under ordinary law for its own unlawful content or deliberate misuse, not our fault. No clause prevents a lawful claim or complaint.
## 11. Worldwide users and disputes
These terms use the law of England and Wales, consistently with the EULA. If you are a consumer in another country, you retain mandatory protections under the law of your usual residence and any right to bring a claim in your local courts. Business disputes are subject to the courts of England and Wales unless mandatory law requires otherwise. We do not require private arbitration or waive consumers' access to courts, regulators or statutory remedies. Contacting us first may help resolve a problem but is not a condition of bringing a lawful claim.
## 12. Records and interpretation
Keep the agreement and asset-licence versions supplied with your account and acquisitions. If a provision cannot lawfully be enforced, the rest applies only so far as it can operate fairly. Translations should make the terms understandable and must not remove mandatory rights or mislead users about their obligations. No delay in enforcing a right automatically waives it, and no transfer of the service may reduce consumer rights contrary to law.
