Terms of Service
Arcurial Studios · Version 2026-10-22 · Worldwide service
Read alongside the End User Licence Agreement, asset licences and privacy notice.
1. Who we are and who these terms cover
Arcurial Studios Ltd, trading as Arcurial Studios, is the United Kingdom-based operator of InRef, a product intended for users worldwide. Contact Admin@Arcurial.com for support or legal notices. These terms govern the website, accounts, online services and Asset Store alongside the software EULA. If you act for an organisation, you must have authority to bind it. A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession; choosing a paid plan alone does not change that status. This new version does not retrospectively transfer an earlier contract to a different legal person. Full business identification and postal details must be supplied with any paid offer.
2. Our agreements and your acceptance
These Terms of Service apply alongside the End User Licence Agreement (EULA), which governs the software, and the versioned licence supplied with each asset, which governs use of that asset. An asset licence takes precedence on asset-use rights; the EULA takes precedence on software-use rights. Mandatory law takes precedence over all three. The installer and account-creation acceptance controls cover the displayed EULA and these terms, identified by version and a digest of their full text. Read and save them before accepting. If you do not agree, cancel installation and do not create an account or use the affected service. Downloading, browsing, an automatic update or continued use alone is not treated as express acceptance of revised terms. Material changes require fresh express agreement before applying to future use; previous agreements, purchases and acceptance records are not rewritten.
3. Accounts and acceptable use
InRef is a general-purpose creative and reference tool. These terms do not impose a blanket requirement to be aged 18 or over to use the software. Store age ratings and parental controls apply to the version and features distributed through that store. The current hosted-service alpha remains invitation-only. Account creation, purchases and optional external services remain subject to applicable legal eligibility requirements and any parental or guardian permission required by law. Provide accurate information, keep your account credentials secure and report suspected misuse promptly. Do not impersonate others, evade account restrictions, interfere with the service, distribute malware, infringe other people's rights or use InRef for unlawful activity. You are responsible for activity you authorise or knowingly allow, but not automatically for activity caused by our own failure to take reasonable care. Availability in a country is subject to applicable law.
4. Your content
You retain your existing rights in content you import, create or upload. You choose that content and are responsible for its lawful use, including obtaining the permissions required for importing, creating, uploading, sharing and other intended uses under copyright, privacy, confidentiality, trademark and likeness rights. Providing editing and reference tools does not mean we select, approve or endorse the content you use. Local boards are not published to other users or uploaded to our hosted services merely because you use the software; a sharing, support or optional external-processing feature can transmit content you choose for that feature. For content you submit to our services, you grant us only the permission reasonably necessary to process, store, display and deliver it as you request, maintain the service and investigate misuse. We do not acquire ownership of your work merely because you use InRef. These responsibilities do not exclude obligations that applicable law or platform rules place on Arcurial Studios for its own content, services or conduct.
5. Asset licences and finished works
Review the licence and disclosures on an asset before acquiring or using it. Commercial Licence and AI Commercial Licence permit use and modification in personal and commercial finished works under their stated conditions. They prohibit sharing, reselling or redistributing the asset itself, including modified standalone assets. A purchase grants the specified licence and access to the acquired release, not ownership of all intellectual-property rights or an exclusive right to the subject matter. Existing custom or third-party licences continue to govern their respective assets.
6. AI-generated asset disclosure
An AI tag means AI Generated. An asset bearing that tag or an AI Commercial Licence contains AI-generated material and is not represented as wholly human-authored. Copyright protection, authorship rules and the ability to obtain exclusive rights differ between countries and may not apply to some or all of the material. We grant only rights we hold and do not promise exclusivity, copyright registration, or that similar output will not be supplied or created elsewhere. A licence cannot create copyright where the law does not recognise it.
7. Your intended use of AI content
Before using an AI-tagged asset, assess whether it is suitable for your project, country, client, employer, publisher or distribution platform, including any disclosure or provenance requirements. Check the output for unwanted resemblance to protected works, trademarks, people or other restricted subject matter and obtain additional permissions where needed. Do not misrepresent disclosed AI material as wholly human-authored or make unsupported claims of exclusivity. The AI tag is a disclosure, not a guarantee of legal clearance, accuracy or suitability for every use. These responsibilities do not excuse any inaccurate description, lack of reasonable care or other breach for which Arcurial Studios is legally responsible.
8. Test credits, paid orders and consumer remedies
The current closed alpha uses free test credits, which are not money, cannot be exchanged for cash and do not create a payment obligation. We will not turn test purchases into charges or subscriptions without a separate clear agreement. Any future paid order must disclose its price, taxes, applicable licence, delivery, cancellation and refund terms before commitment. Where immediate digital delivery affects a statutory cancellation right, we must obtain the legally required express consent and acknowledgement separately. Faulty, misdescribed or otherwise non-conforming digital content remains subject to applicable statutory remedies; an AI tag does not remove those remedies.
9. Installation risk, your backups and service availability
InRef is unfinished alpha software. Installation, updates and use can crash or freeze, corrupt or overwrite files, lose saved or unsaved work, make files incompatible, or disrupt your device and other software. You choose to install and use it at your own risk as allocated in section 10; that does not waive our legal responsibilities.
Before installing or updating and regularly during use, keep independent, versioned backups of important work, original files and linked media outside InRef and synchronised folders; check you can restore them. Test new releases and import/export workflows on copies. Save regularly, verify outputs and follow system requirements and clear instructions. Do not rely on the alpha as your only copy of important work, your only way of meeting a deadline, or in safety-critical systems.
Autosave, undo, recovery, storage and sync do not replace independent backups; sync can propagate corruption or deletion. Unless expressly agreed in writing, we do not provide indefinite archival storage, guaranteed recovery or a dedicated service to reconstruct lost work. This does not remove statutory remedies or a service commitment we expressly make, and lack of a backup does not automatically remove consumer rights.
We will use reasonable care but do not promise uninterrupted or error-free service, every planned feature or compatibility with every device or file.
An existing direct-purchase licence retains its agreed permanent offline use of the software versions covered by that licence. Once activated, those versions do not require periodic online activation. Keep a private backup of your offline activation key and a compatible installer. Later major-version upgrades are optional separate purchases unless expressly included in your offer. Existing device registrations remain subject to the terms supplied with their original purchase.
Online service support is tied to the current generally available major version of InRef. For example, when version 2.x becomes generally available, online services for version 1.x may be retired; a beta or preview of a later major version does not itself end support. A perpetual software licence does not promise indefinite online service availability for an older major version. Continuing to use online services may require a supported version and a licence for it. Before ending support for a major version, we will give reasonable advance notice and an opportunity to export available content. Existing direct offline activation and covered local features continue to work independently of that service retirement. This policy does not reduce an existing express service commitment, rewrite earlier purchases or limit mandatory consumer rights.
For business users only, the free alpha is supplied as is and as available without implied warranties of satisfactory quality or fitness for a particular purpose, only where lawfully and reasonably excluded and subject to section 10.
We may suspend access for a serious breach or urgent legal or operational need, giving reasons, reasonable notice and a chance to remedy a remediable breach where practicable. Planned closure should provide a reasonable opportunity to export available content. Removing a listing does not itself revoke a perpetual asset licence. You may stop using the free alpha without an exit charge.
10. Responsibility for lost work, data and device damage
Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded or limited. Mandatory digital-content, service and data-protection rights remain intact.
CONSUMERS: we remain responsible for reasonably foreseeable loss caused by our breach or failure to use reasonable care and skill, including applicable repair or compensation rights for damage to a device or other digital content under section 46 of the UK Consumer Rights Act 2015. Loss is foreseeable if it was obvious or both parties knew it might happen when agreeing the contract.
We are not responsible for loss we did not cause through breach or lack of reasonable care, or which was not reasonably foreseeable. Loss caused solely by misuse contrary to clear instructions or a third-party failure for which we are not responsible may fall outside our responsibility; this does not excuse our contribution to loss or failure to take reasonable precautions. Take reasonable steps to avoid further loss when a problem becomes known. The effect of avoidable loss or missing backups is assessed under applicable law, not by an automatic exclusion.
BUSINESS USERS ONLY: subject to the non-excludable liabilities above and legal reasonableness requirements, for the free evaluation alpha we exclude lost profits, revenue, sales, contracts, business opportunities, anticipated savings or goodwill; business interruption; and loss, corruption or unavailability of business data or files, including restoration and recreation costs, whether those specified losses are direct or indirect. We also exclude indirect or consequential loss.
We exclude liability for other loss or damage arising from or in connection with the free closed alpha, including device or property damage, only where that exclusion is lawful and reasonable. These exclusions apply consistently across these terms and the EULA. These business provisions apply in contract, tort (including negligence), non-fraudulent misrepresentation, breach of statutory duty or otherwise only where lawful and reasonable; a court may decline to enforce an unreasonable exclusion, and liability will then be determined under applicable law. They do not apply to consumers or paid products, which require separate terms before purchase.
We impose no consumer indemnity or fixed breach penalty. A business remains responsible under ordinary law for its own unlawful content or deliberate misuse, not our fault. No clause prevents a lawful claim or complaint.
11. Worldwide users and disputes
These terms use the law of England and Wales, consistently with the EULA. If you are a consumer in another country, you retain mandatory protections under the law of your usual residence and any right to bring a claim in your local courts. Business disputes are subject to the courts of England and Wales unless mandatory law requires otherwise. We do not require private arbitration or waive consumers' access to courts, regulators or statutory remedies. Contacting us first may help resolve a problem but is not a condition of bringing a lawful claim.
12. Records and interpretation
Keep the agreement and asset-licence versions supplied with your account and acquisitions. If a provision cannot lawfully be enforced, the rest applies only so far as it can operate fairly. Translations should make the terms understandable and must not remove mandatory rights or mislead users about their obligations. No delay in enforcing a right automatically waives it, and no transfer of the service may reduce consumer rights contrary to law.
